Terms and Conditions

Welcome to TechLabCo (“Company,” “*we,” “*us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our AI calling solutions (“Services”) provided to businesses (“Clients”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
1. Acceptance of Terms
By accessing or using TechLabCo’s Services, you (“Client,” “**you,” or “your”) agree to comply with and be legally bound by these Terms. These Terms apply to all Users of the Services, including without limitation Users who are Contributors, Visitors, and others.
2. Use of Services
a) Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By agreeing to these Terms, you represent and warrant that you meet these eligibility requirements.
b) License Grant
TechLabCo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes, subject to these Terms.
c) Prohibited Activities
Use the Services for any unlawful purpose or in violation of any applicable laws.
Reverse engineer, decompile, or disassemble the Services.
Attempt to gain unauthorized access to the Services or related systems.
Interfere with or disrupt the integrity or performance of the Services.
3. Client Data Ownership
Clients retain full ownership and control over their data processed through the Services. TechLabCo acts solely as a service provider and does not claim any ownership rights over Client data.
4. Fees and Payment
a) Fees
Clients agree to pay all fees specified in their respective service agreements. Fees are non-refundable except as expressly provided in these Terms.
b) Non-Refundable Clause
All fees paid for the Services are non-refundable. This is because the Services involve significant time and resources to develop and customize AI solutions tailored to each Client’s needs. Clients acknowledge and agree that once the Services have been rendered, no refunds will be issued, regardless of Client satisfaction or usage levels.
c) Billing
Fees are billed in advance on a [monthly/annual] basis and are non-cancellable except as expressly provided herein.
5. Indemnification
You agree to indemnify, defend, and hold harmless TechLabCo and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to:
Your use or misuse of the Services.
Your violation of these Terms.
Your violation of any rights of a third party, including without limitation any intellectual property, property, or privacy rights.
6. Limitation of Liability
To the fullest extent permitted by law, TechLabCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
Your access to or use of or inability to access or use the Services.
Any conduct or content of any third party on the Services.
Unauthorized access, use, or alteration of your transmissions or content.
TechLabCo’s total liability to you for all claims under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
7. Termination
a) Termination by Client
Clients may terminate their use of the Services at any time by providing written notice to TechLabCo. However, fees paid prior to termination are non-refundable.
b) Termination by TechLabCo
TechLabCo may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
c) Effect of Termination
Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of these Terms and not to disclose such information to any third party without the prior written consent of the disclosing party, except as required by law.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the [State/Country], without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in [Location], in accordance with the rules of the [Arbitration Association].
10. Changes to Terms
TechLabCo reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
11. Miscellaneous
a) Entire Agreement
These Terms constitute the entire agreement between you and TechLabCo regarding the use of the Services and supersede all prior agreements, understandings, and representations.

If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will continue in full force and effect.
c) Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
